ONGOING MONTHLY ONE-TO-ONE SESSIONS

Terms and Conditions

Version 1.0. 1st October 2026.

Ongoing Monthly One-to-One Sessions

Terms and Conditions

These Terms and Conditions ("Terms") apply to the purchase and delivery of Ongoing Monthly One-to-One Sessions ("the Sessions") by Catherine Morgan Limited ("the Company", "We", "Us", "Our"), a company registered in Jersey, Channel Islands under company number 137407, whose registered office is at 1-3 Colomberie, St Helier, Jersey, trading as The Money Panel, to you, the person or business purchasing ("the Client", "You").

The Client may be an individual purchasing for themselves, or a company, partnership, sole trader or other business purchasing for one of its owners, directors, partners or employees. Where the Client is a business, the individual who attends the Sessions is referred to in these Terms as "the Participant". Where the Client is an individual purchasing for themselves, the Client and the Participant are the same person, and references to the Participant are references to the Client.

These Terms are separate from, and do not replace, the Company's One-to-One Money Sessions Terms and Conditions, which apply to the purchase of individual Sessions, or the Company's Business Mentoring Session Terms and Conditions, which apply to business mentoring.

Company structure and payment arrangements

You are entering into a service agreement with Catherine Morgan Limited, a company registered in Jersey, Channel Islands, trading as The Money Panel. All Services under these Terms are delivered by Catherine Morgan Limited from Jersey.

For payment processing convenience, the Fee is collected through our UK entity, The Money Panel Ltd (registered in England and Wales, company number 10267198, registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ), acting solely as a payment collection agent on behalf of Catherine Morgan Limited. All contractual obligations, service delivery, liability and dispute resolution sit with Catherine Morgan Limited (Jersey). The Money Panel Ltd (UK) has no liability to you under these Terms other than the obligation to process payments and refunds correctly.

Acceptance

Before purchasing, the Client is asked to confirm each of the following separately, by ticking the relevant box at checkout. Ticking those boxes and completing payment forms the Client's acceptance of these Terms. No physical signature is required.

(a) I have read and agree to these Terms and Conditions.

(b) I am aged 18 or over, and I am purchasing either as a consumer for my own personal use, or in the name of a business, in which case I confirm that I have authority to enter into this agreement on that business's behalf.

(c) I understand that this is an ongoing monthly arrangement with a minimum term of three months, that payment will be taken automatically each month, and that it continues each month after that until I end it by giving 30 days' written notice.

(d) I understand that these Sessions may explore emotional material, personal history and, where relevant, family history, and that they may bring up difficult material.

(e) I understand that these Sessions are not therapy, counselling, medical treatment, or regulated financial, tax, legal or accounting advice, and that they are not business mentoring or commercial strategy.

(f) I confirm that I have considered whether this arrangement is right for me at this time, and that I have told the Company anything I consider relevant to my participation.

(g) I request that the Company begins delivering the Services within any applicable cancellation period, and I understand that I will lose any right to cancel once the first Session has been delivered in full. (See Clause 9.)

(h) I consent to Sessions being recorded and transcribed, and to material from my Sessions being processed using third-party artificial intelligence tools, for the purposes set out at Clauses 13.10 to 13.17. This box is optional. The Services are delivered in the same way whether or not it is ticked, and I may change my mind at any time.

Boxes (a) to (g) are required. Box (h) is optional, and the Services are unaffected by whether it is ticked.

Where the Client is a business. Boxes (d), (e), (f) and (h) are personal to the person who will attend. Where the Client is a business and the Participant is a different person from the person completing the purchase, the Company will ask the Participant to confirm (d), (e) and (f) personally, and to give the consents at Clauses 13 and 16, before the first Session takes place. The Company will not deliver a Session until it has done so. A business cannot tick box (h) on the Participant's behalf.

  1. The Sessions

1.1 By accepting these Terms the Client is purchasing ongoing one-to-one support, consisting of one private one-to-one session of 60 minutes, delivered online by Zoom, in each calendar month for which the Fee has been paid.

1.2 The Sessions are intended for continued work on the Participant's relationship with money, including practical money work and somatic work, building on work already undertaken with the Company. That work may concern the Participant's personal finances, the money side of their business, or both. The content of each Session is agreed between the Company and the Participant at the time, having regard to what is most useful. Clause 4 sets out what falls inside and outside the scope of that work.

1.3 The Sessions are delivered pursuant to the details set out in Schedule 1. The Fee is set out in Schedule 2.

1.4 The Client may ordinarily be expected to have completed one or more of the Company's individual One-to-One Money Sessions before beginning this arrangement. The Company may decline a purchase where it considers that an individual Session would be the more appropriate starting point, and will refund in full where it does so.

1.5 One month, one Session. The arrangement provides one Session in each calendar month. It does not provide unlimited access, on-demand availability, or a reserved place in the Company's diary outside the Session booked.

1.6 Who is contracting. The Client may purchase as an individual, or in the name of a limited company, limited liability partnership or partnership. The Client's status is determined by who is named as the purchaser at checkout, not by whether the Participant happens to own or work for a business.

Sole traders. A sole trader has no legal personality separate from the individual, and a sole trader purchasing for themselves contracts as an individual under these Terms. Because the work concerns the Participant's own relationship with money, and because a sole trader's business and personal finances are not legally separate, the Company treats a sole trader as a consumer for the purposes of these Terms, and Clauses 9.1 to 9.3 apply. This does not prevent the Client from paying the Fee from a business account or recording it in their own accounts, which is a matter for the Client and their accountant under Clause 4.12.

1.7 Where the Client is a business. The business is the contracting party, is responsible for the Fee, and is bound by these Terms. The business must name the Participant before the first Session. The business warrants that the Participant has agreed to attend, is attending willingly, and is aged 18 or over. A business may name only one Participant, and the Participant may not be changed without the Company's prior written agreement.

1.8 The consents are personal. The consents and acknowledgements at Clauses 13 (data protection) and 16 (consent and release) concern the Participant's own health, history and personal information. They can only be given by the Participant personally, and a business cannot give them on the Participant's behalf. The Company will obtain them from the Participant directly before the first Session.

1.9 What the Client is told. Where the Client is a business, the Company will confirm to the Client that a Session has taken place and will raise any matter affecting the Fee or the booking. The Company will not disclose to the Client what was discussed in a Session, what material arose, or any assessment of the Participant, and will not provide a report, summary or feedback on the Participant. The Participant may withdraw consent, pause the work under Clause 2.6, or leave a Session at any time, and the Client may not require the Participant to continue or to disclose the content of a Session. Clause 11 applies to the Participant's information as against the Client in the same way as it applies as against any other person.

1.10 Consumer protections. Where the Client is a consumer, the Client has the rights set out at Clauses 9.1 to 9.3 and the protections referred to at Clause 17.6. A consumer means an individual acting wholly or mainly outside their trade, business, craft or profession, and, by the Company's choice under Clause 1.6, a sole trader. Where the Client is a limited company, limited liability partnership or partnership, those provisions do not apply and Clause 9.6 applies instead.

1.11 How to read the rest of these Terms. Where the Client is a business, any reference in these Terms to the Client booking, attending, participating in, rescheduling, being late for or leaving a Session, to the Client's own circumstances, health, history or personal information, or to what the Client discloses in a Session, is a reference to the Participant. Any reference to payment, to the Fee, to notice under Clause 2.4, and to the Minimum Term is a reference to the Client. Where an obligation could sensibly fall on either, it falls on the Client.

  1. Term, renewal and ending the arrangement

2.1 Minimum Term. The arrangement begins on the date of the first payment and runs for a Minimum Term of three consecutive monthly payments. By accepting these Terms the Client commits to those three monthly payments, and to the Fee for each of them, whether or not the Client attends each Session.

2.2 During the Minimum Term the Client may not end the arrangement other than under Clause 9 (statutory cancellation), Clause 10 (termination for material breach), or where the Company agrees otherwise in writing.

2.3 After the Minimum Term. At the end of the Minimum Term the arrangement continues on a rolling monthly basis until ended by either party.

2.4 Ending it. Either party may end the arrangement at any time after the Minimum Term by giving the other at least 30 days' written notice. Notice takes effect at the end of the 30 day period. Any Fee already taken is not refunded, and the Client remains entitled to the Session or Sessions covered by payments already made.

2.5 How to give notice. Notice to end the arrangement must be given by email to hello@catherinemorgan.com, in accordance with Clause 15. Notice given by any other means, including in a Session, by voice note, by text message, by social media message, or to any other email address, is not valid notice under this Clause. The Company will acknowledge valid notice by email within five working days, and the 30 day period runs from the date the notice was sent.

2.6 Pausing. The Company recognises that circumstances change. The Client may request to pause the arrangement for up to two consecutive months on one occasion in any twelve month period. Where the Company agrees, no Fee is charged during the pause, no Session is delivered, and the arrangement resumes automatically at the end of the pause at the Fee then applying. A pause does not count towards the Minimum Term. The Company will not unreasonably refuse a reasonable request.

2.7 Rejoining. Where the arrangement has ended and the Client wishes to begin again, a new Minimum Term applies and the Fee is the Fee then displayed at the point of purchase.

  1. The Services

3.1 The services to be delivered are the Sessions ("the Services"), as further detailed in Schedule 1. Depending on what arises, the Company may draw on Emotional Freedom Technique (EFT), Matrix Reimprinting, Matrix Future Imprinting, gentle parts work, energy work, and practical money coaching.

3.2 The Company will confirm the date and time of each Session with the Client through the Company's online booking system. It is the Client's responsibility to book their Session within the month, to note the Session time, to check their email regularly, and to attend at the agreed time.

3.3 Booking within the month. The Client is responsible for booking each monthly Session. The Company will make reasonable availability open through its booking system and will remind the Client where a month is drawing to a close and no Session has been booked. The Company is not obliged to offer a specific date or time.

3.4 Carry-over. Where the Client does not take a Session in a given calendar month, that Session may be taken in the following calendar month in addition to that month's Session. A Session not taken by the end of the following calendar month will be treated as delivered, and no refund or further carry-over will apply. No more than one Session may be carried over at any time.

3.5 The Company will wait for 15 minutes on the call. If the Client is more than 15 minutes late, the Session will be treated as delivered for that month and the Fee will not be refunded.

3.6 The Client may reschedule a Session once in any month at no charge, provided the Client gives the Company at least 48 hours' notice in writing before the scheduled start time. Where less than 48 hours' notice is given, or where the Client does not attend, the Session will be treated as delivered and the Fee will not be refunded. The Company may waive this at its discretion where the Client has been prevented from attending by illness, bereavement or comparable circumstances.

3.7 In the event the Company is unable to attend a scheduled Session, the Company will give the Client as much notice as reasonably possible and will use reasonable endeavours to reschedule within the same month or the following month. Where no mutually acceptable date can be found, the Company will refund the Fee for that month.

3.8 Between Sessions. The arrangement includes one short written or voice exchange between Sessions in each calendar month, by email or by voice note, for a brief question, reflection or practical point arising from the work. The Company will respond within 48 hours of receipt during normal working days. This is a single bounded exchange and not an open messaging channel, ongoing support, accountability, or crisis provision. The Company does not offer unlimited contact between Sessions, and any further contact or sessions will be the subject of a separate agreement.

3.9 No personalised resource. The Services consist of the Sessions themselves. The Company does not prepare a personalised Map, dashboard, written summary or other resource in connection with these Sessions. Where the Client already holds a personalised resource prepared from an earlier individual Session, that resource remains subject to Clause 12. The Company may agree separately to refresh or extend such a resource, which will be the subject of a separate agreement.

3.10 Attendance. The Sessions are delivered to the Client individually. No other person may attend or participate without the Company's prior written agreement.

3.11 Recording. The Company may record a Session, or make an audio or written transcript of it, for the purposes set out at Clauses 13.10 to 13.17, being transcription, the Company's own notes and preparation, and where separately agreed the preparation of a written resource. A recording will be made only where the Participant has consented, and the Participant will be told at the start of a Session that it is being recorded. The Participant may decline, or ask for recording to stop at any point during a Session, without giving a reason and without affecting the Services or the Fee. A recording made at the Participant's request will be provided to them for their personal use only. The Participant may not record a Session, in whole or in part, by any means, without the Company's prior express agreement.

  1. Scope of the Services

4.1 Not regulated financial advice. The Company does not provide regulated financial advice in any jurisdiction. The Company is not authorised or regulated by the Jersey Financial Services Commission (JFSC), the Financial Conduct Authority (FCA), or any equivalent regulator. The Company will not recommend, and the Client must not treat anything said in a Session as a recommendation of, any specific pension, investment, insurance, mortgage, credit or other financial product or provider. The Company does not hold a licence to provide debt advice or credit-related services.

4.2 The ongoing nature of the arrangement does not extend this scope. Working together over a longer period does not place the Company in a position to advise on the Client's financial products, holdings or decisions. The regulatory boundary at Clause 4.1 applies in the twelfth month exactly as it applies in the first.

4.3 Not therapy. The Sessions are not psychotherapy, counselling, or medical or mental-health treatment, and are not a substitute for any of them. The Sessions are not an ongoing therapeutic relationship, and an ongoing arrangement should not be understood or relied upon as one.

4.4 Not tax, legal or accounting advice. Nothing in a Session constitutes tax, legal or accounting advice. The Client should take advice from a suitably qualified professional where required.

4.5 Scope of practice and referral. The Company is a qualified former financial adviser, a Certified Financial Abuse Specialist, and a trained EFT Practitioner, Matrix Reimprinting Practitioner and Inherited Family Trauma Practitioner. The Company is not a psychotherapist, counsellor, psychologist or medical practitioner, and does not hold itself out as one. If, during a Session, material arises which in the Company's reasonable judgement falls outside the Company's scope of practice, the Company may pause or end the Session, and will where appropriate suggest that the Client seek support from a suitably qualified practitioner.

4.6 The Company's right to decline or to end the arrangement. The Company may decline to deliver a Session, or may end the arrangement, where the Company reasonably considers that it is not appropriate for the Client at that time. Where the Company does so, the Company will refund the Fee for the month in question in full, or a fair proportion where a Session has been partly delivered, and no further Fee will be taken. This is not a disciplinary provision and no fault on the Client's part is implied.

4.7 Financial difficulty. The Sessions are not a debt advice or crisis service. A Client in acute financial difficulty is encouraged to seek free specialist support, for example from StepChange, Citizens Advice, or the equivalent service in their jurisdiction. Where a Client's circumstances change such that the Fee is no longer affordable, the Client is encouraged to contact the Company, and the Company will consider a pause under Clause 2.6 or an earlier end to the arrangement.

4.8 After a Session. A Session may bring up material that stays with the Participant afterwards. The Company is not an emergency or crisis service and does not provide ongoing clinical support. If the Participant is in crisis or at risk of harm, they should contact their GP, their own practitioner, or the emergency services.

4.9 Business money is within scope. Many Participants are business owners, and the Sessions may concern the money side of a business as readily as personal finances. The subject matter of the Sessions is the Participant's relationship with money, wherever that money sits. By way of example, the Sessions may work with the Participant's fear of raising prices, avoidance of looking at business figures, discomfort in asking to be paid, patterns around spending or holding business money, the emotional weight of being responsible for other people's wages, or what the Participant makes money mean in the context of their work.

4.10 Not commercial strategy or business mentoring. The Sessions work with the Participant's relationship with money, and not with the design or running of a business. The Company will not provide ideal client work, offer ideation, offer or pricing structure, positioning, marketing strategy, sales strategy or business planning under these Terms. The distinction matters most around pricing. Why a Participant cannot bring themselves to charge more is within scope. What a Participant should charge is not. Where commercial support is wanted, the Company offers a separate Business Mentoring Session under separate terms, and the Company may say during a Session that a matter falls outside these Terms.

4.11 Not accountancy or business financial management. The Company is not an accountant, bookkeeper, tax adviser or business finance professional, and nothing in a Session constitutes advice on the financial management of a business. Without limiting Clauses 4.1 and 4.4, the Company will not advise on business structure or incorporation, how the Participant should remunerate themselves, VAT, corporation tax, payroll, bookkeeping, business borrowing or credit, cash flow forecasting, or the solvency of a business. The Participant should take advice from a suitably qualified professional on any of these, and the Company may suggest that they do so.

4.12 Tax treatment of the Fee. The Client is solely responsible for determining how the Fee is treated for tax and accounting purposes, including whether it is deductible and whether it gives rise to a benefit in kind or other charge. The Company gives no advice on this and makes no representation about it. The Client should take advice from their own accountant.

  1. Client's obligations

5.1 This Agreement does not create any partnership, joint venture, employment or agency relationship between the parties. The Company is liable to the Client only in respect of the Services provided and to the extent set out in these Terms.

5.2 The Client accepts that participation may involve reviewing and making decisions concerning their personal and home life, business and career, finances, lifestyle, education and development, and health and wellbeing. Any such review, decision, implementation and action is the sole responsibility of the Client.

5.3 The Client is solely responsible for making decisions and taking action as a result of anything reviewed or discussed during a Session. The Company shall not be liable for the Client's failure to make decisions or take action, or for any results, whether direct or indirect, arising out of the Client's participation.

5.4 The Client acknowledges that it is their responsibility to book each Session, to attend, to participate, and to communicate openly and honestly.

5.5 The Client confirms that all information provided to the Company, including personal information, is true, correct, up to date and complete.

5.6 The Client understands that participation does not guarantee any particular result or outcome, and that an ongoing arrangement does not guarantee a greater or faster result than an individual Session.

5.7 If the Client is currently receiving medical or other professional support concerning their mental health, the Client is encouraged to inform their practitioner of their participation, and to inform the Company where relevant.

5.8 The Client agrees to indemnify and hold harmless the Company in respect of any action brought against the Company arising out of the Client's breach of these Terms.

5.9 Where the Client is a business. The Client remains responsible for the Fee and for compliance with these Terms, and is responsible for ensuring that the Participant is made aware of them. Clause 1.11 governs which obligations fall on the Participant. The Client accepts that the Participant's attendance, participation and continued consent are matters for the Participant, that the Company cannot require the Participant to continue, and that no refund arises where the Participant chooses not to attend or withdraws consent.

  1. Complaints

6.1 If the Client has any concern about the Services, the Client is asked to notify the Company by email at hello@catherinemorgan.com as soon as reasonably possible. The Company will acknowledge within five working days and will use all reasonable efforts to resolve the concern.

  1. Fees and payment

7.1 The Fee is payable monthly in advance. The Fee and the billing arrangements are set out in Schedule 2.

7.2 Recurring payment. The Client authorises the Company, and its payment collection agent and payment processor, to take the Fee automatically from the Client's chosen payment method on each monthly payment date until the arrangement ends in accordance with Clause 2. It is the Client's responsibility to keep their payment details current.

7.3 The Fee is stated exclusive of VAT. The Company is not VAT registered.

7.4 The Client is responsible for any bank charges, currency conversion costs or local taxes arising in their own jurisdiction.

7.5 Failed payments. Where a payment fails, the Company will notify the Client and may attempt to take payment again. Where payment has not been received within 7 days of the payment date, the Company may withhold delivery of that month's Session until payment is received, and interest may be charged at 3% over the Bank of England base rate from time to time, accruing daily. Where payment has not been received within 30 days, the Company may end the arrangement and may instruct a collection agent or lawyer to recover any sum outstanding under the Minimum Term together with interest and costs reasonably incurred. A Session withheld under this clause is not carried over under Clause 3.4.

7.6 Changes to the Fee. The Company may vary the Fee by giving the Client at least 30 days' written notice. A variation takes effect from the next payment date falling after the notice period expires, and will not take effect during the Minimum Term. Where the Client does not wish to continue at the varied Fee, the Client may end the arrangement by written notice before that payment date, and the varied Fee will not be charged.

  1. Booking

8.1 Booking is made through the Company's online booking system using the link provided after the first payment. The same link is used in each subsequent month.

8.2 Booking, carry-over, lateness and rescheduling are governed by Clauses 3.3 to 3.7.

  1. Cancellation and refunds

9.1 Statutory cancellation rights. Where the Client is a consumer and the contract is entered into at a distance, the Client may have a statutory right to cancel within 14 days of the date the contract is formed. Nothing in these Terms limits or excludes that right or any other right the Client has under applicable consumer protection legislation, including (as applicable) the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Consumer Rights Act 2015, the Distance Selling (Jersey) Law 2007 and the Supply of Goods and Services (Jersey) Law 2009.

9.2 Beginning within the cancellation period. Because a first Session is frequently booked for a date within 14 days of purchase, the Client is asked at checkout to expressly request that the Company begins delivering the Services within the cancellation period, and to acknowledge that the right to cancel is lost once the first Session has been delivered in full.

9.3 Where the Client cancels within the cancellation period and before the first Session has been delivered, the Company will refund the Fee paid, less a proportionate amount reflecting any preparation already carried out at the Client's request. Refunds will be made using the same method of payment, within 14 days.

9.4 Outside the statutory cancellation period, and save as set out in Clauses 3.7, 4.6, 7.6 and 9.5, no refund shall apply. Fees already paid in respect of a month are not refundable, and the Client remains entitled to the Session for that month subject to Clause 3.

9.5 Where the Company is unable to deliver the Services by reason of an unforeseen event, the Client may be entitled to a refund of the Fee for any month in which no Session was delivered.

9.6 Where the Client is a business. Clauses 9.1 to 9.3 apply only to a Client who is a consumer. Where the Client is a business, no statutory cancellation right arises, the Minimum Term at Clause 2.1 applies in full from the date of the first payment, and the only refunds available are those at Clauses 3.7, 4.6 and 9.5.

  1. Termination

10.1 Either party may terminate by written notice where the other commits a material breach and, where the breach is capable of remedy, fails to remedy it within 14 days of notice; or where the other commits a material breach incapable of remedy. Termination under this clause takes effect immediately and Clause 2.4 does not apply.

10.2 Ending the arrangement by notice is governed by Clause 2.4. Subject to Clause 9, no refund will apply.

10.3 The Company may limit, suspend or terminate the Services without refund where the Company reasonably determines that the Client is behaving abusively towards the Company or any other person, is repeatedly failing to attend without reasonable justification, or is failing to abide by these Terms. Before doing so the Company will, where it is reasonable and safe to do so, raise the matter with the Client and give an opportunity to put it right.

10.4 Where the arrangement ends for any reason, the Company will cancel the recurring payment arrangement and no further Fee will be taken.

  1. Confidentiality and safeguarding

11.1 In order for the Services to be effective the Client will be encouraged to disclose personal and confidential information. The Company shall not, directly or indirectly, disclose, make available to, or use for its own benefit or that of any other person, the Client's confidential or proprietary information ("Confidential Information").

11.2 Confidential Information excludes information that: (a) was already known to the Company before disclosure by the Client; (b) is in the public domain; (c) is provided by a third party without breach of these Terms; or (d) is independently produced by the Company without breach of these Terms.

11.3 Risk of harm. Where information is disclosed which causes the Company to have a reasonable and serious concern that the Client or another person is at risk of significant harm, the Company may disclose such information as is necessary to protect the Client or that other person. Where it is safe and appropriate to do so, the Company will tell the Client first.

11.4 Financial abuse. The Company is a Certified Financial Abuse Specialist. Where a Client discloses economic or financial abuse, the Company will hold that disclosure in confidence subject to Clause 11.3, and may signpost the Client to specialist support. The Company does not act as an advocate, investigator or reporting body.

11.5 Clauses 11.1 to 11.4 do not apply where the Company is subject to a court order or other legal or statutory obligation requiring disclosure.

11.6 Where the Client is a business. The Participant's Confidential Information is protected as against the Client in the same way as against any other person. Paying the Fee does not give the Client any right of access to what was discussed in a Session, and Clause 1.9 governs what the Company will and will not tell the Client.

11.7 Non-exclusivity. The Company works with many Participants, a number of whom are business owners, and some of whom operate in similar or overlapping markets. The Company trains financial coaches and may work with Participants who compete with one another. Nothing in this Clause 11 prevents the Company from working with any other person, requires the Company to decline work in any market, or restricts the Company's use of its own pre-existing knowledge, experience, frameworks and general approaches. General approaches, methods and ways of thinking about money are not the Confidential Information of any Participant. What is protected is the specific confidential information the Participant discloses, and the Company will not disclose it or use it for the benefit of any other person.

  1. Intellectual property

12.1 The Client agrees not to infringe any of the Company's copyrights, trademarks, trade secrets or other intellectual property rights.

12.2 All materials, frameworks, tools, assessments and resources provided by the Company, including the Money Narratives Clearing® Framework, the Money StoryTypes® Assessment, the Worthy Of More Map, the Personal Priming Practice and the Money Parts Map, are and remain the confidential and proprietary intellectual property of the Company.

12.3 Where the Client holds a personalised resource prepared by the Company, the Client is granted a personal, non-exclusive, non-transferable licence to use it for their own personal purposes. The Client may not reproduce, distribute, publish, sell, licence or use it commercially, or share it with any third party, without the Company's prior written consent. This licence continues after the arrangement ends.

12.4 The Client agrees that breach of this Clause may cause the Company loss or irreparable harm and that the Company may seek relief, including injunctive relief.

  1. Data protection

13.1 The Company processes personal data in accordance with the Data Protection (Jersey) Law 2018 and, where applicable, the UK GDPR and the EU GDPR. Further details are set out in the Privacy Notice at www.themoneypanel.co.uk/privacy-policy

13.2 Special category data. The Participant understands that the Services require the Company to process special category personal data, including data concerning the Participant's health and mental health, family history, and in some cases data revealing racial or ethnic origin or religious belief. The Participant gives explicit consent to the Company processing such data for the sole purpose of delivering the Services. The Participant may withdraw this consent at any time by writing to hello@catherinemorgan.com, and understands that withdrawal will ordinarily mean the Services cannot continue, in which case the arrangement will end and no further Fee will be taken. Where the Client is a business, this consent is given by the Participant personally in accordance with Clause 1.8 and cannot be given by the Client.

13.3 The Company is the controller. The Company is the data controller in respect of the Participant's personal data. Where the Client is a business, the Company does not process the Participant's personal data on the Client's behalf, does not act as the Client's processor, and will not transfer that data to the Client.

13.4 An ongoing arrangement means an accumulating record. The Participant understands that working together over a longer period means the Company will hold a fuller record of their circumstances than it would after a single Session. The Company holds only what is necessary to deliver the Services, and Clause 13.8 applies to all of it.

13.5 Information about third parties. The Participant acknowledges that the Sessions may invite information about third parties, including members of the Participant's family and, where relevant, their partner. The Participant should share only what they are comfortable sharing. The Company will treat any such information with the same confidentiality and care as the Participant's own.

13.6 Both parties will take appropriate steps to keep information secure and to protect against loss, destruction and unlawful or unauthorised processing.

13.7 The Participant has the right to request copies of the information the Company holds about them, by Data Subject Access Request to hello@catherinemorgan.com. Requests will be dealt with within the statutory period. Where the Client is a business, this right belongs to the Participant and not to the Client.

13.8 Information provided in connection with the Sessions will be retained for six years from the date of the last Session, after which it will be securely deleted, unless a longer period is required by law.

13.9 The Company may disclose the Participant's information where legally compelled or under a legal duty; where necessary to administer the Client's account; to third-party service providers engaged to deliver or support the Services, including the AI tools described at Clauses 13.10 to 13.17; and where disclosure is made at the Participant's request or with their authority.

Recordings, transcription and artificial intelligence

13.10 What the Company uses AI tools for. The Company uses third-party artificial intelligence tools in the course of delivering the Services. Specifically, the Company may use such tools to produce a transcript of a recorded Session, to help prepare, organise and summarise the Company's own notes of a Session, and, where separately agreed, to help prepare a written resource from the work carried out. The Company does not use AI tools for any other purpose in connection with the Services.

13.11 This involves processing special category data. The Participant understands that material from a Session may include information about their health and mental health, their family history, their finances, and in some cases information revealing racial or ethnic origin or religious belief, and that inputting that material into an AI tool is processing of that data. The consent at Clause 13.2 does not by itself cover this. The Participant's consent to the use of AI tools is taken separately, at checkout and again before the first Session, and is recorded by the Company.

13.12 The Participant may decline. The Participant may refuse consent to the use of AI tools, or withdraw it at any time, by writing to hello@catherinemorgan.com. Where the Participant does so, no Session will be recorded or transcribed, no Session material will be input into an AI tool, the Company will keep handwritten or typed notes instead, and the Services will continue unaffected. Declining does not change the Fee, does not affect the Participant's place, and does not need to be explained. Any recording or transcript already held will be deleted on request.

13.13 Safeguards. Where the Company uses an AI tool in connection with the Services, the Company will use tools and account settings under which material input is not used to train the provider's models, will not input material into a general consumer AI tool that lacks those settings, and will select providers offering appropriate confidentiality and security terms. The Company will input the minimum material necessary for the purpose.

13.14 Third parties in the material. Session material may contain information about other people, including members of the Participant's family and the Participant's partner, who have not consented to that processing. The Company will remove or obscure names and identifying details of third parties before inputting material into an AI tool, save where doing so would make the material unusable for the purpose, in which case the Company will not input it.

13.15 International transfers. Some AI providers process data outside Jersey and the United Kingdom, including in the United States. Where that is the case, the Company will rely on an appropriate transfer mechanism recognised under the Data Protection (Jersey) Law 2018 and, where applicable, the UK GDPR.

13.16 The work remains human. The Sessions are delivered by Catherine Morgan personally. AI tools are not used to deliver a Session, to form a view about the Participant, or to make any decision about the Participant or about the Services. Any written resource prepared with the help of an AI tool is reviewed by the Company before it is sent, and the Company remains responsible for its content.

13.17 Retention. Recordings and transcripts are retained in accordance with Clause 13.8 and are deleted at the same time as the Company's other records of the Sessions, or earlier at the Participant's request under Clause 13.12.

13.18 This Clause 13 shall survive termination.

  1. Liability

14.1 The Company has made every effort to represent the Services accurately. Any testimonials or examples of results are individual experiences and are not intended to represent or guarantee that any other person will achieve the same or similar results. The Company makes no guarantee, representation or warranty as to any outcome.

14.2 Nothing in these Terms limits or excludes the Company's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for the obligation to perform the Services with reasonable care and skill, or for any other liability which cannot lawfully be limited or excluded.

14.3 Subject to Clause 14.2, the Company will not be liable to the Client for any indirect, consequential or special loss, or for any loss of profit, revenue, savings or opportunity.

14.4 Subject to Clause 14.2, the Company's total liability under or in connection with these Terms is limited to the total amount paid by the Client to the Company in the twelve months preceding the event giving rise to the liability.

14.5 The Client agrees not to make any statement about the Company which the Client knows to be false or misleading. Nothing in this clause prevents the Client from expressing an honest opinion about the Services, from leaving a genuine review, or from making any disclosure required or protected by law.

14.6 The Company confirms that it holds professional indemnity and public liability insurance adequate to meet liabilities that may arise in connection with these Terms.

14.7 Where a dispute arises which cannot be resolved by agreement, the parties will first attempt to resolve it through mediation by an independent mediator before commencing legal proceedings. This does not prevent either party from seeking urgent injunctive relief.

  1. Notices

15.1 Notices to the Company. Any notice to the Company under these Terms, including notice to end the arrangement under Clause 2.4, must be sent by email to hello@catherinemorgan.com. Notice may also be given by first class post to the Company's registered office.

15.2 Notices to the Client. Any notice to the Client, including notice of a change to the Fee under Clause 7.6 and notice of a change to these Terms under Clause 17.5, will be sent by email to the email address given by the Client at the point of purchase, or to any later address the Client has notified to the Company in writing. It is the Client's responsibility to keep that address current and to tell the Company if it changes.

15.3 When notice takes effect. A notice sent by email is deemed served at the time it is sent, if sent before 5pm UK time on a business day, and otherwise at 9am on the next business day, unless the sender receives an automated message indicating that it was not delivered. A notice sent by post is deemed served on the second business day after posting. The sender is not required to obtain a read receipt or delivery notification.

15.4 Where the Client is a business, notice may be given by the Client or by the Participant, and the Company may give notice to either.

  1. Consent and release

16.1 The consents in this Clause are given by the Participant personally. Where the Client is a business, the Company will obtain them from the Participant before the first Session in accordance with Clause 1.8, and a business cannot give them on the Participant's behalf.

16.2 The Sessions are delivered online and may use tools including new learning experiences, healing sentences, guided imagery and visualisation, tapping, gentle parts work and enquiry (together, the "Exercises"). The Participant consents to the Exercises and acknowledges that they are free to withdraw that consent or stop a Session at any time, for any reason, and without needing to explain.

16.3 The Participant understands that difficult or traumatic material may be discussed, and that participating may bring up highly personal issues which may cause temporary stress or unexpected responses of a physical, psychological, mental, emotional or spiritual nature. The Participant understands that there is a risk of emotional distress from their participation, agrees to take responsibility for their participation, and agrees to release Catherine Morgan Limited from liability for any loss or damage that may occur in connection with the Sessions, to the fullest extent permitted by law and subject always to Clause 14.2.

16.4 The Participant confirms that they have considered whether the Sessions are appropriate for them at this time, and that they have disclosed to the Company any physical or mental health condition, diagnosis, or current treatment that may be relevant to their participation.

16.5 Continuing consent. Consent under this Clause is continuing and may be withdrawn at any time. The Participant is asked to tell the Company where their circumstances, health or treatment change materially during the arrangement. The Participant takes responsibility for their own experience of the Sessions, and is free to pause or to leave a Session at any time. Where the Participant withdraws consent and the Client is a business, the arrangement will end under Clause 13.2 and the Company will tell the Client only that the arrangement has ended.

  1. General

17.1 Failure to enforce any provision does not constitute a waiver of any right.

17.2 If any provision is held invalid or unenforceable, it shall be struck out and the remaining provisions shall remain in force.

17.3 These Terms, together with the Schedules, form the entire agreement between the parties in respect of the Ongoing Monthly One-to-One Sessions and supersede all prior negotiations, correspondence and discussions.

17.4 The Company shall not be liable for any delay or failure in provision of the Services caused by circumstances beyond its reasonable control, including act of God, strike, war, riot, fire, flood, accident, illness, failure of telecommunications or third-party services. Delivery shall be extended until a reasonable time after the event.

17.5 The Company may amend these Terms from time to time. Where the Client's arrangement is continuing, the Company will give the Client at least 30 days' written notice of any material change, and the Client may end the arrangement under Clause 2.4 if they do not wish to continue on the amended Terms. The version applying to any month is the version in force at the start of that month.

17.6 These Terms are formed in Jersey, the principal place of business of the Company, and are governed by the laws of Jersey. The parties submit to the exclusive jurisdiction of the Courts of Jersey. Nothing in this clause deprives a Client who is a consumer of the protection of any mandatory provisions of the law of the country in which they are habitually resident.

17.7 Save in respect of the Company's agents, employees and contractors, a person who is not a party to these Terms shall have no right to enforce any of them.

17.8 The Client acknowledges that they have been given sufficient time to seek legal advice before accepting these Terms.

Schedule 2: Fees

The Fee. No figure is stated in this Schedule. The Fee is the monthly amount displayed to the Client at the point of purchase and confirmed in the Company's payment confirmation. That amount, together with the billing frequency and the Minimum Term, is disclosed to the Client before purchase.

Currency. The Fee is charged in the currency shown at the point of purchase, being either pounds sterling or US dollars. The currency applying to the Client's arrangement does not change while the arrangement continues unless agreed in writing.

Billing. The Fee is payable monthly in advance, taken on the date of the first payment and on the same date in each following month. Where that date does not occur in a given month, payment is taken on the last day of that month.

VAT. The Fee is stated exclusive of VAT. The Company is not VAT registered.

Discounts. The Company may from time to time offer a discount or reduced rate, to particular Clients or to groups of Clients, at its discretion. Where a discount applies, the discounted amount is the Fee for that purchase. Offering a discount to one Client does not entitle any other Client to the same rate.

Changes to the Fee. The Company may vary the Fee in accordance with Clause 7.6. A variation does not take effect during the Minimum Term.

No instalments. The monthly Fee is payable in full on each payment date. No instalment or deferred payment option applies within a month.
