Company structure and payment arrangements

You are entering into a service agreement with Catherine Morgan Limited, a company registered in Jersey, Channel Islands, trading as The Money Panel. All Services under these Terms are delivered by Catherine Morgan Limited from Jersey.

For payment processing convenience, the Fee is collected through our UK entity, The Money Panel Ltd (registered in England and Wales, company number 10267198, registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ), acting solely as a payment collection agent on behalf of Catherine Morgan Limited. The Money Panel Ltd (UK) has no liability to you under these Terms other than the obligation to process payments and refunds correctly.

Acceptance

Before purchasing, the Client is asked to confirm each of the following separately, by ticking the relevant box at checkout. Ticking those boxes and completing payment forms the Client's acceptance of these Terms. No physical signature is required.

(a) I have read and agree to these Terms and Conditions.

(b) I am aged 18 or over, and I am purchasing in the course of a business rather than as a consumer.

(c) I understand that this Session is business mentoring, and that it is not money coaching, therapy, or regulated financial, legal, tax or accounting advice.

(d) I understand that the Company may use artificial intelligence tools to help produce draft materials for my business, and I consent to my business information being processed in that way. (See Clause 5.)

(e) I request that the Company begins delivering the Services within any applicable cancellation period, and I understand that I will lose any right to cancel once the Session has been delivered in full. (See Clause 9.)

  1. THE SESSION

1.1 By accepting these Terms the Client understands and accepts that they are purchasing a single, private, one-to-one business mentoring session of 60 minutes, delivered online.

1.2 The Session shall be delivered pursuant to the details set out in Schedule 1.

1.3 The Fee is set out in Schedule 2. The Fee is payable in full in advance. No payment plan or instalment option applies.

1.4 Once cleared payment is received, the Company shall provide a receipt, send the Client the pre-session form and the booking link, and confirm the arrangements for the Session.

1.5 Scope of one Session. A Session covers the topics the parties can reasonably address within 60 minutes. It is not a comprehensive review of the Client's business, and the Client accepts that not every topic raised will be covered.

1.6 Booking window. The Session must be booked and delivered within six months of the date of purchase, unless the Company agrees otherwise in writing. A Session not taken within that period will be treated as delivered and no refund will apply. The Company will not unreasonably refuse a request to extend where the Client has a good reason.

  1. THE SERVICES

2.1 The services to be delivered are the Session ("the Services"), as further detailed in Schedule 1. Depending on what the Client brings, a Session may cover ideal client definition, offer ideation and structure, pricing approach, marketing approach and positioning, and related questions about the Client's business.

2.2 The Company will confirm the date and time of the Session with the Client by email and by the Company's online booking system. It is the Client's responsibility to note the Session time, to check their email regularly, to respond promptly to requests to agree the time and date, and to attend at the agreed time.

2.3 The Company will wait for 15 minutes on the call. If the Client is more than 15 minutes late, the Session will be treated as delivered and the Fee will not be refunded. Where the Session goes ahead, it will end at the originally scheduled time.

2.4 In the event the Company is unable to attend a scheduled Session, the Company will give the Client as much notice as reasonably possible and will use reasonable endeavours to reschedule to a mutually acceptable date. Where a mutually acceptable date cannot be found, the Company will refund the Fee in full.

2.5 The Client may reschedule on one occasion at no charge, provided the Client gives the Company at least 48 hours' notice in writing before the scheduled start time. Where less than 48 hours' notice is given, or where the Client does not attend, the Session will be treated as delivered and the Fee will not be refunded. The Company may waive this at its discretion where the Client has been prevented from attending by illness, bereavement or comparable circumstances.

2.6 The Company shall use reasonable endeavours to respond to emails from the Client within 48 hours of receipt during normal working days. The Company does not provide ongoing support, messaging access or accountability between or after Sessions. Any further contact or sessions will be the subject of a separate agreement.

2.7 Attendance. The Session is delivered to the Client individually. No other person may attend or participate without the Company's prior written agreement.

  1. SCOPE OF THE SERVICES

3.1 Not a guarantee of results. Business mentoring is provided on the basis of the Company's own commercial experience. The Company gives no warranty, representation or guarantee as to revenue, enquiries, client numbers, conversion, pricing outcomes, growth or any other commercial result. All decisions taken in the Client's business, including decisions on pricing, positioning, marketing and expenditure, remain the Client's own and are taken at the Client's own risk.

3.2 Not professional consultancy. The Company is not a qualified marketing, advertising, branding or management consultant, and does not hold itself out as one. The Session is offered as practitioner-to-practitioner support drawn from the Company's own experience of building and running a business.

3.3 Not regulated financial advice. The Company does not provide regulated financial advice in any jurisdiction. The Company is not authorised or regulated by the Jersey Financial Services Commission (JFSC), the Financial Conduct Authority (FCA), or any equivalent regulator. The Company will not recommend, and the Client must not treat anything said in a Session as a recommendation of, any specific pension, investment, insurance, mortgage, credit or other financial product or provider. Where a Session touches on the Client's business pricing or revenue, that is commercial discussion and not financial advice.

3.4 Not tax, legal or accounting advice. Nothing in a Session constitutes tax, legal, accounting, employment, data protection or regulatory advice in relation to the Client's business. The Client should take advice from a suitably qualified professional where required.

3.5 Not money coaching or therapy. The Session is about the Client's business. It is not psychotherapy, counselling, or medical or mental-health treatment.

3.6 The Client's own obligations. The Client is solely responsible for ensuring that their marketing, positioning, service descriptions and pricing comply with all regulatory, professional, membership, accreditation and advertising obligations applying to them, including any restriction on providing regulated financial advice and any restriction on the use of protected terms. The Company does not review or approve the Client's marketing for compliance and accepts no responsibility for it.

3.7 The Company's right to decline. The Company may decline to deliver a Session, or may end one, where the Company reasonably considers that the work falls outside its competence or outside the scope of these Terms. Where the Company does so, the Company will refund the Fee in full, or a fair proportion of the Fee where the Session has been partly delivered. No fault on the Client's part is implied.

  1. CLIENT'S OBLIGATIONS

4.1 This Agreement does not create any partnership, joint venture, employment or agency relationship between the parties. The Company is liable to the Client only in respect of the Services provided and to the extent set out in these Terms.

4.2 The Client is solely responsible for making decisions and taking action as a result of anything reviewed or discussed during a Session. The Company shall not be liable for the Client's failure to make decisions or take action, or for any results, whether direct or indirect, arising out of the Client's participation.

4.3 The Client confirms that all information provided to the Company about their business is true, correct, up to date and complete. The Company is entitled to rely on that information and is not responsible for mentoring given on the basis of information which proves to be incomplete or inaccurate.

4.4 The Client acknowledges that it is their responsibility to attend, to participate, and to communicate openly.

4.5 The Client understands that participation does not guarantee any particular result or outcome.

4.6 The Client agrees to indemnify and hold harmless the Company in respect of any action brought against the Company arising out of the Client's breach of these Terms, or arising out of the Client's use of any material produced during or following a Session.

  1. USE OF ARTIFICIAL INTELLIGENCE TOOLS

5.1 During or after a Session the Company may use artificial intelligence tools to help produce draft marketing material, copy, structures, names or other documents for the Client ("AI Outputs").

5.2 By accepting these Terms the Client consents to the Company inputting information about the Client's business into third-party artificial intelligence tools for this purpose. The Client must not disclose to the Company any information they are unwilling to have processed in this way, including personal data relating to the Client's own clients, employees or contacts.

5.3 AI Outputs are drafts. They may contain errors, inaccuracies, outdated information, invented statements, or material resembling the work of others. The Company does not verify AI Outputs for accuracy, originality, or compliance with any law, regulation or advertising standard.

5.4 The Client is responsible for reviewing any AI Output before using it, for checking its accuracy, for satisfying themselves that it does not infringe any third party's rights, and for ensuring that it meets any obligation applying to the Client under Clause 3.6.

5.5 Ownership and protection. The legal status of material generated by artificial intelligence is unsettled in many jurisdictions, and copyright protection in AI Outputs may be limited or unavailable. The Company gives no warranty that the Client will be able to claim, register or enforce any right in an AI Output, that an AI Output is original, or that it may be registered as a trade mark.

5.6 Subject to Clause 8, the Company makes no claim to AI Outputs created for the Client's own business, and the Client may use them at their own risk.

5.7 The Client may ask the Company not to use artificial intelligence tools in connection with their Session, by notifying the Company in writing before the Session. The Company will confirm whether it is able to deliver the Session on that basis.

  1. RECORDINGS

6.1 The Company does not routinely record Sessions. Where the Client requests a recording, in advance or at the time, the Company will make one and provide it to the Client.

6.2 The Company will delete its own copy of a recording within 30 days of providing it. The Client is responsible for storing and securing their copy.

6.3 A recording is provided for the Client's own business use. The Client may not publish it, share it with third parties, or use any part of it in their own marketing, training or materials, without the Company's prior written consent.

6.4 The Client may not record a Session, in whole or in part, by any means, without the Company's prior express agreement. The Company may decline to record, or may stop a recording, where it considers this appropriate.

  1. CONFIDENTIALITY AND NON-EXCLUSIVITY

7.1 Each party will keep confidential any commercially sensitive information disclosed by the other in connection with a Session, including business plans, pricing, financial information, client lists, unpublished materials and trade secrets ("Confidential Information"), and will not disclose it to any third party without consent.

7.2 Confidential Information excludes information that: (a) was already known to the receiving party before disclosure; (b) is or becomes public other than through a breach of these Terms; (c) is provided by a third party without breach; or (d) is independently developed without breach.

7.3 Non-exclusivity. The Company works with many businesses, including businesses operating in the same or adjacent markets to the Client, and including competitors of the Client. The Client acknowledges this and agrees that the Company is under no obligation to decline such work.

7.4 General approaches, methods, structures, frameworks and commercial principles discussed in a Session are not confidential to the Client, are not exclusive to the Client, and may be discussed with others. Clause 7.1 protects the Client's specific Confidential Information and does not restrict the Company's use of general know-how.

7.5 The Company may independently develop, or suggest to others, approaches which resemble those discussed with the Client, and nothing in these Terms prevents it from doing so, provided it does not disclose the Client's Confidential Information.

7.6 The Company retains all rights in the knowledge, experience, methods and skills it acquires or uses in the course of delivering a Session.

7.7 Risk of harm. Where information is disclosed which causes the Company to have a reasonable and serious concern that a person is at risk of significant harm, the Company may disclose such information as is necessary. Where it is safe and appropriate to do so, the Company will tell the Client first.

7.8 Clauses 7.1 to 7.7 do not apply where the Company is subject to a court order or other legal or statutory obligation requiring disclosure.

  1. INTELLECTUAL PROPERTY

8.1 The Client agrees not to infringe any of the Company's copyrights, trade marks, trade secrets or other intellectual property rights.

8.2 Subject to Clause 5.5, the Client owns any name, offer structure, positioning statement, marketing copy or other material created specifically for the Client's own business during or following a Session.

8.3 The Company's frameworks, models, methods, assessments, programmes and materials, including its registered trade marks, remain its confidential and proprietary intellectual property. Where the Company refers to its own offers, frameworks, pricing or commercial structures during a Session by way of example, that reference does not grant the Client any right or licence to reproduce, adapt, teach or commercialise them, in whole or in part.

8.4 The Client may not present themselves as certified, accredited, trained, endorsed or approved by the Company on the basis of having purchased a Session.

8.5 The Client agrees that breach of this Clause may cause the Company loss or irreparable harm and that the Company may seek relief, including injunctive relief.

  1. FEES, CANCELLATION AND REFUNDS

9.1 The Client is responsible for ensuring that the Fee is paid in full and on time.

9.2 The Fee is stated exclusive of VAT. The Company is not VAT registered.

9.3 The Client is responsible for any bank charges, currency conversion costs or local taxes arising in their own jurisdiction.

9.4 Where any sum is overdue by more than 7 days, the Company may withhold delivery of the Services until payment is received, and interest may be charged at 3% over the Bank of England base rate from time to time, accruing daily. Where any sum is overdue by more than 30 days, the Company may instruct a collection agent or lawyer to recover the Fee together with interest and costs reasonably incurred.

9.5 Business purchase. The Client purchases in the course of a business. Statutory consumer cancellation rights do not generally apply. Nothing in these Terms limits or excludes any right which cannot lawfully be limited or excluded, and where any such right does apply, Clauses 9.6 and 9.7 have effect.

9.6 Where a right to cancel applies and the Client cancels before the Session has been delivered, the Company will refund the Fee, less a proportionate amount reflecting any preparation already carried out at the Client's request. Refunds will be made using the same method of payment, within 14 days.

9.7 Save as set out in Clauses 2.4, 3.7 and 9.6, no refund shall apply.

  1. TERMINATION

10.1 Either party may terminate by written notice where the other commits a material breach and, where the breach is capable of remedy, fails to remedy it within 14 days of notice; or where the other commits a material breach incapable of remedy.

10.2 The Client may terminate at any time by written notice. Subject to Clause 9, no refund will apply.

10.3 The Company may limit, suspend or terminate the Services without refund where the Company reasonably determines that the Client is behaving abusively towards the Company or any other person, is repeatedly failing to attend without reasonable justification, or is failing to abide by these Terms. Before doing so the Company will, where it is reasonable and safe to do so, raise the matter with the Client and give an opportunity to put it right.

  1. COMPLAINTS

11.1 If the Client has any concern about the Services, the Client is asked to notify the Company by email at hello@catherinemorgan.com as soon as reasonably possible. The Company will acknowledge within five working days and will use all reasonable efforts to resolve the concern.

  1. DATA PROTECTION

12.1 The Company processes personal data in accordance with the Data Protection (Jersey) Law 2018 and, where applicable, the UK GDPR and the EU GDPR. Further details are set out in the Privacy Notice at www.themoneypanel.co.uk/privacy-policy

12.2 No special category data. The Session does not require the Company to process special category personal data. The Client should not disclose special category data, and should not disclose personal data relating to third parties, including the Client's own clients, employees or contacts.

12.3 Processing by artificial intelligence tools. Where the Company uses third-party artificial intelligence tools under Clause 5, the Client's business information may be processed outside Jersey and the United Kingdom. The Company takes reasonable steps to use tools with appropriate safeguards and does not knowingly use tools which train on customer content.

12.4 Both parties will take appropriate steps to keep information secure and to protect against loss, destruction and unlawful or unauthorised processing.

12.5 The Client has the right to request copies of the information the Company holds about them, by Data Subject Access Request to hello@catherinemorgan.com. Requests will be dealt with within the statutory period.

12.6 Information provided in connection with a Session will be retained for six years from the date of the Session, after which it will be securely deleted, unless a longer period is required by law. Recordings are retained in accordance with Clause 6.2.

12.7 The Company may disclose the Client's information where legally compelled or under a legal duty; where necessary to administer the Client's account; to third-party service providers engaged to deliver or support the Services; and where disclosure is made at the Client's request or with their authority.

12.8 This Clause 12 shall survive termination.

  1. LIABILITY

13.1 The Company has made every effort to represent the Services accurately. Any testimonials or examples of results are individual experiences and are not intended to represent or guarantee that any other person or business will achieve the same or similar results. The Company makes no guarantee, representation or warranty as to any outcome.

13.2 Nothing in these Terms limits or excludes the Company's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for the obligation to perform the Services with reasonable care and skill, or for any other liability which cannot lawfully be limited or excluded.

13.3 Subject to Clause 13.2, the Company will not be liable to the Client for any indirect, consequential or special loss, or for any loss of profit, revenue, savings, business, goodwill or opportunity.

13.4 Subject to Clause 13.2, the Company's total liability under or in connection with these Terms is limited to the amount paid by the Client to the Company.

13.5 The Client is a business and is expected to exercise its own commercial judgement. The Company is not liable for decisions the Client takes following a Session, or for the Client's use of any material produced during or following a Session.

13.6 The Client agrees not to make any statement about the Company which the Client knows to be false or misleading. Nothing in this clause prevents the Client from expressing an honest opinion about the Services, from leaving a genuine review, or from making any disclosure required or protected by law.

13.7 The Company confirms that it holds professional indemnity and public liability insurance adequate to meet liabilities that may arise in connection with these Terms.

13.8 Where a dispute arises which cannot be resolved by agreement, the parties will first attempt to resolve it through mediation by an independent mediator before commencing legal proceedings. This does not prevent either party from seeking urgent injunctive relief.

  1. NOTICES

14.1 Any notice shall be validly served if sent by email, or by first class post to the address of the other party, and shall be deemed served: (a) if by email, on receipt of a valid delivery notification, if before 5pm UK time, or at 9am the following business day; (b) if by post, on the second business day after posting.

14.2 Notices to the Company should be sent to hello@themoneypanel.co.uk

  1. GENERAL

15.1 Failure to enforce any provision does not constitute a waiver of any right.

15.2 If any provision is held invalid or unenforceable, it shall be struck out and the remaining provisions shall remain in force.

15.3 These Terms, together with the Schedules, form the entire agreement between the parties and supersede all prior negotiations, correspondence and discussions.

15.4 The Company shall not be liable for any delay or failure in provision of the Services caused by circumstances beyond its reasonable control, including act of God, strike, war, riot, fire, flood, accident, illness, failure of telecommunications or third-party services. Delivery shall be extended until a reasonable time after the event.

15.5 The Company may amend these Terms from time to time. The version applying to any purchase is the version in force at the date of purchase.

15.6 These Terms are formed in Jersey, the principal place of business of the Company, and are governed by the laws of Jersey. The parties submit to the exclusive jurisdiction of the Courts of Jersey.

15.7 Save in respect of the Company's agents, employees and contractors, a person who is not a party to these Terms shall have no right to enforce any of them.

15.8 The Client acknowledges that they have been given sufficient time to seek legal advice before accepting these Terms.
